This week, Alitium Chairman Mr. Matthew Lourey, together with Mr. Anatolijus Fouracre, CEO of SPS Vietnam and Mr. Thuan Ngo M., Advisory Chairman of DNA Experience Consulting, took part in a discussion with a group of MBA students from Nanyang Business School, Nanyang Technological University Singapore, on “Doing Business in Vietnam: Opportunities, Challenges, and Success Factors”.

The group brought together students from across Asia and beyond, including India, China, Taiwan, Japan, Singapore, the United States and Germany, for an exchange of perspectives on Vietnam’s business environment.

𝗨𝗻𝗱𝗲𝗿𝘀𝘁𝗮𝗻𝗱𝗶𝗻𝗴 𝗩𝗶𝗲𝘁𝗻𝗮𝗺 𝗯𝗲𝘆𝗼𝗻𝗱 𝘁𝗵𝗲 𝗵𝗲𝗮𝗱𝗹𝗶𝗻𝗲𝘀

Drawing on more than 21 years of experience in Vietnam, Matthew shared his observations on the country’s development, its business culture and the practical challenges companies may encounter when entering and operating in the market.

Vietnam presents significant opportunities for international businesses, but success depends on understanding how the market works in practice. Building the right relationships, navigating regulatory requirements and adapting to local commercial practices are all part of establishing and growing a business in Vietnam.

🎓 Thank you to Nanyang Business School for the invitation and to the students for their engagement and thoughtful questions. We appreciated the opportunity to share our experience and hear the perspectives of a group preparing to lead businesses in an increasingly connected region.

At Alitium, we support international investors establishing and operating businesses in Vietnam, Singapore, and Malaysia as well as Vietnamese businesses expanding into regional markets. Our integrated legal, accounting, tax, corporate advisory, HR and payroll, and compliance services help clients manage the practical requirements of doing business across jurisdictions.

For businesses operating in Singapore or across borders, the 17% headline corporate income tax rate tells only part of the story.

Where a company is managed, how it earns income, whether it qualifies for tax exemptions and how payments are made to overseas entities can all affect its tax position. These considerations are particularly relevant for foreign investors establishing a Singapore entity, regional headquarters or investment holding company.

🔶 Alitium’s Singapore Tax Guide 2026 provides a practical reference for foreign investors and international businesses, covering the principal tax rules and compliance requirements relevant to operating in Singapore.

The guide covers:
• 𝗖𝗼𝗿𝗽𝗼𝗿𝗮𝘁𝗲 𝗶𝗻𝗰𝗼𝗺𝗲 𝘁𝗮𝘅: How taxable income is determined, including available exemptions, reliefs and deductions.
• 𝗧𝗮𝘅 𝗿𝗲𝘀𝗶𝗱𝗲𝗻𝗰𝗲 𝗮𝗻𝗱 𝗰𝗼𝗺𝗺𝗲𝗿𝗰𝗶𝗮𝗹 𝘀𝘂𝗯𝘀𝘁𝗮𝗻𝗰𝗲: Why incorporation alone does not establish Singapore tax residence, and what this means for treaty access and tax planning.
• 𝗙𝗼𝗿𝗲𝗶𝗴𝗻-𝘀𝗼𝘂𝗿𝗰𝗲𝗱 𝗶𝗻𝗰𝗼𝗺𝗲 𝗮𝗻𝗱 𝘁𝗮𝘅 𝘁𝗿𝗲𝗮𝘁𝗶𝗲𝘀: Key considerations when receiving overseas income, structuring investments and managing potential double taxation.
• 𝗚𝗦𝗧 𝗮𝗻𝗱 𝘄𝗶𝘁𝗵𝗵𝗼𝗹𝗱𝗶𝗻𝗴 𝘁𝗮𝘅: Registration obligations and the tax treatment of cross-border payments, including interest, royalties and certain service fees.
• 𝗧𝗿𝗮𝗻𝘀𝗳𝗲𝗿 𝗽𝗿𝗶𝗰𝗶𝗻𝗴: How related-party transactions should be priced, documented and reviewed as business operations evolve.
• 𝗛𝗼𝗹𝗱𝗶𝗻𝗴 𝗰𝗼𝗺𝗽𝗮𝗻𝗶𝗲𝘀 𝗮𝗻𝗱 𝗶𝗻𝘁𝗲𝗿𝗻𝗮𝘁𝗶𝗼𝗻𝗮𝗹 𝘁𝗮𝘅 𝗱𝗲𝘃𝗲𝗹𝗼𝗽𝗺𝗲𝗻𝘁𝘀: Tax considerations for investment holding structures, disposal gains and the OECD Pillar Two global minimum tax.

Getting these considerations right at the outset can help businesses manage tax exposure, structure cross-border transactions appropriately and avoid compliance issues as their operations grow.

📈 𝗕𝗲𝘆𝗼𝗻𝗱 𝗧𝗵𝗲 𝗦𝘁𝗼𝗰𝗸 𝗠𝗮𝗿𝗸𝗲𝘁: 𝗪𝗵𝗲𝗿𝗲 𝗗𝗼𝗲𝘀 𝗩𝗶𝗲𝘁𝗻𝗮𝗺’𝘀 𝗡𝗲𝘅𝘁 𝗖𝗮𝗽𝗶𝘁𝗮𝗹 𝗖𝗼𝗺𝗲 𝗙𝗿𝗼𝗺? 🚀

Vietnam’s FTSE Russell upgrade is not only about the stock market. A deeper capital market could create new opportunities for private equity, venture capital and corporate bonds, giving Vietnamese businesses more ways to finance expansion and build long-term capacity.

🏭 For businesses looking to move into higher-value manufacturing and become a more valuable part of international supply chains, another question matters:

Is the capital available for long enough to support the investment ❓

Building production capacity is not a short-term exercise. Companies may need to invest in equipment, technology, facilities, people and production systems years before the full return on that investment is realised.

🎥 In Episode 3 of by Vietnam Today, Mr. Matthew Lourey, Chairman of Alitium, shared his perspective on the role of long-term capital in Vietnam’s next phase of growth.

🗣️ For businesses looking to expand production and become more integrated into international supply chains, the type and duration of funding matter.

🔹 New production capacity requires significant upfront investment
🔹 Higher-value manufacturing requires long-term commitment
🔹 Short-term funding may not match long-term investment returns

According to Matthew: “Long-term capital is the solution to become part of this international export and be a valuable part of supply chain requires a big commitment from a capital perspective. You've got to make sure you can guarantee large quantities. That is a long-term investment and return. You're putting lots of equipment in the right place, you're buying it, you're having to pay for it. And you can't use short-term funding for those long-term returns.”

For Vietnamese manufacturers, access to long-term capital could therefore be an important part of moving into higher-value production and strengthening their position in global supply chains. The opportunity is not simply more capital, but capital that matches the investment horizon.

🎥 A look back at our recent seminar

Law, and Trade Promotion Division - ITPC

🗣️ Representing Alitium, Mr. Matthew Lourey, drew on over 20 years of experience advising Vietnamese and Australian businesses to share practical insights on “𝙀𝙭𝙥𝙤𝙧𝙩 𝙩𝙤 𝘼𝙪𝙨𝙩𝙧𝙖𝙡𝙞𝙖: 𝙄𝙢𝙥𝙤𝙧𝙩 𝘾𝙤𝙢𝙥𝙡𝙞𝙖𝙣𝙘𝙚, 𝙀𝙎𝙂 𝙖𝙣𝙙 𝘽𝙞𝙤𝙨𝙚𝙘𝙪𝙧𝙞𝙩𝙮”, helping businesses understand the regulatory, operational and commercial considerations that can shape their success in the Australian market, beyond preferential tariffs alone.

🦘 Before exporting to Australia, businesses need to ask four key questions:
1️⃣ What will it cost? Understand tariffs, customs valuation and rules of origin.
2️⃣ Can it enter Australia? Check import conditions, biosecurity and food safety requirements.
3️⃣ Does it meet local requirements? Verify product standards, labelling and applicable approvals.
4️⃣ Is it ready for the market? Assess buyer expectations, packaging, traceability and ESG requirements.

For businesses, commercial preparation should start alongside regulatory preparation.

📺 Thank you to for covering the event and helping bring this important discussion to a wider audience.

🤝 Our appreciation also goes to Mr. Sam Conroy, Mr. Edwin H. Law, the team, and all participating organisations, speakers and businesses for contributing to this valuable exchange.

Today, 20 October 2026, the next phase of Singapore’s Corporate and Accounting Laws (Amendment) Act 2025 takes effect, introducing changes to annual return declarations and several corporate compliance procedures.

For companies operating in , these amendments make accurate corporate records and up-to-date ACRA filings particularly important. From new annual return confirmations to changes in registered office requirements and striking-off procedures, businesses should understand which changes apply to their structure and responsibilities.

🔶 Alitium's latest article provides a practical overview of the key changes, including:

• 𝗔𝗻𝗻𝘂𝗮𝗹 𝗿𝗲𝘁𝘂𝗿𝗻𝘀: New requirements to confirm company particulars held by ACRA, including a declaration concerning the performance of the CEO role.

• 𝗥𝗲𝗴𝗶𝘀𝘁𝗲𝗿𝗲𝗱 𝗼𝗳𝗳𝗶𝗰𝗲: Greater flexibility on public opening hours, while existing address notification and records inspection obligations remain.

• 𝗦𝘁𝗿𝗶𝗸𝗶𝗻𝗴-𝗼𝗳𝗳 𝗮𝗻𝗱 𝗿𝗲𝘀𝘁𝗼𝗿𝗮𝘁𝗶𝗼𝗻: Updated timelines and procedures, including mandatory grounds for refusing restoration applications.

• 𝗣𝘂𝗯𝗹𝗶𝗰 𝗰𝗼𝗺𝗽𝗮𝗻𝗶𝗲𝘀: Removal of certain statutory meeting, reporting and filing requirements.

Rising operating costs and talent shortages are prompting Australian businesses to rethink where they operate and how they grow. Vietnam is increasingly on the radar, offering a growing domestic market of over 100 million people, a competitive workforce and access to regional trade networks. For Australian businesses, this creates a dual opportunity: to reach new customers in Vietnam while building an operating base to support wider ASEAN expansion.

🔹 Last week, Alitium joined Australian Chamber of Commerce Vietnam (AusCham), Aspire, LEAP X and The Sentry to explore how Australian businesses can use Vietnam to build capabilities, manage costs and scale regionally.

🗣️ Representing Alitium, our Chairman, Mr. Matthew Lourey, shared practical perspectives on market entry and establishing business operations in Vietnam.

📈 As Vietnam moves up the value chain, Australian businesses can combine their headquarters, customer relationships and market expertise in Australia with Vietnam’s talent, local market access and growing operational capabilities. The two markets can complement each other, creating a stronger platform for regional growth.

For businesses considering Vietnam, the key questions are:

🔹 Market entry: Which entry strategy best fits your commercial objectives?

🔹 Legal setup and licensing: Legal setup and licensing:What corporate structure and licences are required?

🔹 Operating model: Which functions should remain in Australia and which should move to Vietnam?

🔹 Capital and cross-border cash flows: How will the business fund its Vietnamese operations, manage tax exposure, transfer funds between entities and repatriate profits to Australia?

🔹 Ongoing compliance: What corporate, tax, accounting, employment and regulatory obligations must be managed once operations begin?

💱 These decisions are closely connected. The choice of structure can affect how an investment is funded, how profits are taxed and distributed, and what requirements apply when moving money across borders. Addressing these matters early can help businesses assess the true cost of entry and avoid unnecessary complications as they grow.

🤝 Our thanks to Mr. Edwin H. Law, Executive Director of AusCham Vietnam, our fellow speakers, Mr. Greg Ohan Managing Director of LEAP X, Ms. Finnley Hui Yu, Lee Startups & VC Partnerships Lead at Aspire and The Sentry for bringing the business community together for this discussion.

If your Australian business is considering Vietnam as a new market or an operating base for ASEAN, Alitium can help you assess the market-entry options, establish the right legal structure and navigate licensing, tax, accounting and ongoing compliance requirements.

For foreign investors, choosing and describing business activities at incorporation is not simply a registration step. It can affect how the company operates, which regulatory requirements apply and whether its registered scope continues to reflect the business as it develops.

🎦 In our latest video, Ms. Hoang Dung, Senior Associate Lawyer at Alitium, explains why investors should look beyond the registration form.

The registered business scope may affect what a company can do in practice, while the legal classification of an activity may differ from how it is described commercially. This can be particularly relevant for businesses operating through platforms, retail, logistics, education or healthcare models, where the applicable regulatory requirements may depend on the nature of the underlying activity.

🔔 For investors planning their Vietnam market entry, it is therefore worth considering not only what the company will do at incorporation, but also how the business is expected to operate and grow over time.

Before incorporating in , consider whether your proposed business activities accurately reflect how the business will operate today and how you expect it to grow.

At Alitium, we help foreign investors assess business activities, regulatory considerations and corporate structures as part of their Vietnam market entry and ongoing operations.
