Are Electronic Signatures Valid for Hong Kong Company Documents?

Hong Kong has recognised electronic signatures for over two decades, but the rules are conditional: a short exclusion list means wills, powers of attorney and land documents follow their own ex*****on rules.

Our guide explains the law, the electronic-versus-digital distinction, which company documents you can e-sign, how the e-Services Portal and eTAX handle signatures, and the four safeguards to put in place first.

Read the guide from 3E Accounting Hong Kong before your company signs its next document on screen.

How Should Hong Kong Companies Prepare and Keep Meeting Minutes?

Meeting minutes are among the least glamorous parts of running a Hong Kong company — and among the most requested. Banks, buyers, lenders and the company's auditors all ask for them, usually at the least convenient moment.

Our updated 2026 guide explains which meetings Hong Kong companies must minute, a five-step process for writing minutes that stand up to review, a standard contents checklist, and how long records should be kept.

Read the full guide from 3E Accounting Hong Kong before your next board meeting — and find out whether your minute book could survive a bank review.

How Can Hong Kong Directors Work Effectively With Their Company Secretary?

Every Hong Kong company must appoint a company secretary by law, yet many boards only hear from theirs when something is late.

Our director-focused guide covers the company secretary responsibilities Hong Kong boards should know, how to divide duties, and the 2026-27 deadlines and fees — from the 42-day Annual Return window after the incorporation anniversary (or the re-domiciliation anniversary for a re-domiciled private company) to the HK$2,350 Business Registration renewal.

Read the guide from 3E Accounting Hong Kong and put the next filing anniversary on autopilot.

3 Things Needed in a Founders’ Agreement in Hong Kong

Founders' agreements are the startup paperwork nobody wants to draft and everyone wishes they had signed. Our rebuilt guide covers the three essentials — equity and vesting, decision rights, and IP — with clause tables, founder scenarios and five FAQs.

It also separates a founders' agreement from articles of association, a shareholders' agreement and an employment contract, and lists 2026 Companies Registry incorporation and annual return fees.

Read the guide before you file, then speak with 3E Accounting Hong Kong about incorporation and company secretarial support.

How Do Convertible Notes Work for Hong Kong Startups?

Convertible notes let Hong Kong startups raise money before anyone can agree on a valuation, but the discount, cap and maturity terms decide who wins at conversion.

Our new guide explains the key terms, the conversion maths, the securities and tax points, and the practical steps to take before signing.

Guide to Writing a Company Constitution in Hong Kong

The memorandum of association is gone. Since the Companies Ordinance (Cap. 622) commenced on 3 March 2014, a Hong Kong company's constitution is its articles of association plus certain resolutions and agreements, with model articles applying by default.

Filing duties are strict: under section 88(5), within 15 days after an alteration of the articles takes effect, the company must deliver to the Companies Registry a notice in Form NAA1 and a certified copy of the altered articles. The updated guide covers mandatory clauses, model versus bespoke drafting, amendment procedure and current incorporation fees.

Read the full guide from 3E Accounting Hong Kong before you incorporate — or amend — your company's constitution.
