Are you getting the full compliance package when registering your business, or just a piece of paper? Registering a company with CIPC is only the first step. To ensure your business is fully compliant, operational, and legally protected from day one, your corporate "starter kit" needs to cover both CIPC and SARS requirements thoroughly.

Here is what proper, full-spectrum company registration includes:

●Official Incorporation Documents: Your official CoR 14.3 certificate and Memorandum of Incorporation (MOI).
●Proof of Ownership: Issued, numbered share certificates for every shareholder along with an updated Securities Register.
●CIPC Beneficial Ownership (BO) Filing: Completing the mandatory BO register submission to declare final ownership and control.
●SARS Integration: Generating your company Income Tax number and linking it directly to your SARS eFiling profile.
●Governance & Appointments: Formally documenting your First Directors' Resolutions and officially registering your designated Public Officer with SARS.

Don't settle for incomplete setups that leave you scrambling later. Partner with us to ensure your business compliance is handled correctly from the start.

Please note: Standard company registration, Beneficial Ownership (BO) filings, and SARS Tax / eFiling registrations are charged as separate services. While a full setup requires all of these components, each service carries its own individual fee.

Under the current law, it is already illegal to employ someone who is not legally entitled to work in South Africa. This applies to businesses and to households employing foreign domestic workers, nannies or gardeners.

A new Bill proposes additional duties and higher penalties for employers, but these changes are not yet law. Employers should therefore comply with the existing law and remain alert to the proposed changes.

It’s unfortunately all too common a tale. Out of the blue, an older person, rendered vulnerable by age or illness, acquires a new “friend”. Before anyone in the family realises what’s going on, their loved one has died, and the fraudster claims to be sole heir in terms of a last-minute will.

No surprise then that our courts must often determine whether a deceased person’s last will was tainted by incapacity, undue influence, fraud, or even forgery. The sad tale of a 90-year-old man who left behind two conflicting wills is a good example of how our courts approach these situations.

After their bond was withdrawn, the buyers were given time to arrange new finance. Instead, one of them emailed the conveyancer saying they would only apply for another bond after the seller repaired an alleged defect or agreed to reduce the price.

The seller understood this to mean that the buyers would not proceed on the terms they had already accepted. She cancelled the sale, and the High Court agreed that she was entitled to do so.

The buyers lost the sale and the money already paid and faced further financial consequences.

Beneficial Ownership: What documents must you file with CIPC?
Before you or your bookkeeper log in to the CIPC portal, you'll need a specific set of documents prepared and ready for submission.

Missing just one document can delay or even halt the entire process.
Gathering, formatting, and verifying these documents takes valuable time away from running your business. That's exactly where we can help.

Here's the complete checklist of documents required by CIPC to successfully submit your Beneficial Ownership filing and obtain your official Confirmation Certificate:
🔹 Mandate to Lodge (Ordinary Resolution)
🔹 Register of Beneficial Owners (Register of Beneficial Interest)
🔹 Register of Shareholders or Members (Register of Securities)
🔹 Beneficial Ownership Diagram (Disclosure Form Mapping Structure)
🔹 Certified IDs or Passports for all beneficial owners

At The Compliance People™, we partner with business owners, company secretaries, and accountants to manage SARS and CIPC compliance requirements. We guide, prepare, and assist throughout the process, helping you achieve compliance smoothly while saving valuable time.
