A Beneficial Ownership Information (BOI) Report details individuals who ultimately own or control a company. Mandated by the Corporate Transparency Act (CTA), it must be filed with the Financial Crimes Enforcement Network (FinCEN). Following recent rule updates, only foreign reporting companies (entities formed outside the US but registered to do business in the US) must file. U.S. based companies are exempt.
Who Needs to Report: Foreign entities: Corporations, LLCs, or similar structures formed under foreign law that are registered to do business in any U.S. state or Tribal jurisdiction.Exemptions: Exempt Domestic entities (US-formed businesses) from BOI reporting requirements.
