•What is a BOI report and what is its purpose?
A BOI report is a disclosure of a business's owners to the Financial Crimes Enforcement Network (FinCEN). In 2021, Congress passed the Corporate Transparency Act on a bipartisan basis. The report is intended to increase business transparency and help fight illicit activity.
• Who needs to file a BOI report?
Reporting companies created or registered before January 1, 2024, must file its initial BOIR by January 1, 2025.
If a reporting company is created or registered to do business in the United States on or after January 1, 2024 and before January 1, 2025, it must file its initial BOIR within 90 days after receiving actual or public notice that its creation or registration is effective.
If a reporting company is created or registered to do business in the United States after January 1, 2025, then it must file its initial BOIR within 30 days after receiving actual or public notice that its creation or registration is effective.
• What information is reported?
A BOI report includes the following information for each beneficial owner:
• Name
• Date of birth
• Address
• A unique identifying number and issuing jurisdiction from an acceptable identification document
• An image of the acceptable identification document
•How to file a BOI report?
BOI reports can be filed electronically through the BOI E-Filing portal at boiefiling.fincen.gov. The report can be submitted as a PDF or filled out online.
• Penalties for noncompliance
Willfully failing to file a BOI report or providing false information can result in civil penalties of up to $591 per day and criminal penalties of up to two years in prison and/or a $10,000 fine.

A final rule implementing the beneficial ownership information reporting requirements of the Corporate Transparency Act (CTA) was issued in September 2022. These regulations go into effect on January 1, 2024. Beneficial ownership information will not be accepted prior to January 1, 2024.
