Well!!! Common sense prevails! After over a year of frustration and confusion, FinCEN has announced "All entities created in the United States — including those previously known as “domestic reporting companies” — and their beneficial owners are now exempt from the requirement to report beneficial ownership information" (BOI) to FinCEN."

This is great news for small business! And about damn time!

Beneficial ownership information reporting requirements are now back in effect, with a new deadline of March 21, 2025, for most companies. Prior to March 21, 2025, FinCEN will assess its options for further modifying deadlines. For more information, see our website https://fincen.gov/boi.

I would really like to post about something other than BOI, but they just keep giving us something to talk about! But, this time, its good news! The BOI reporting deadline has been extended beyond March 21, enforcement has been halted, with further guidelines by March 21.

Now, we can all get back to tax season.

The Financial Crimes Enforcement Network said late Thursday that it will extend the current reporting deadline beyond March 21 and will develop new regulations to reduce “regulatory burden.”

Last Friday, the BOI rules changed again. The current deadline for filing the initial BOI for all companies (unless previously extended) is March 21, 2025. That's 25 days.

Along the lines of "you can't make this sh*t up", Beneficial Ownership Reporting (BOI) is on hold. Again. After a mind-boggling series of events where it was and it wasn't. Blah blah blah. More uncertainty, costs and complexity for small business which just seems insane.

For now, I'm just taking a breath. It's not like its tax season or anything!!

IR-2025-08, Jan. 10, 2025 — The Internal Revenue Service today announced that the nation’s 2025 tax season will start on Monday, Jan. 27, 2025, and will feature expanded and enhanced tools to help taxpayers as a result of the agency’s historic modernization efforts.
