If you haven't filed your 2024 taxes, the IRS released on December 26th 2025 is the last day to file 2024. IRS shuts down the electronic filing referred to as the blackout period to get ready for the next filing season in January 2026.

I want to give you a critical update on the status of FinCEN filings regulation under the Corporate Transparency Act (CTA).

BOI reporting is now mandatory and FinCEN has extended the deadline only until March 21st. These reports must be filed in the next 30 days to avoid fines of $591 per day.

The Court has ruled in favor of DOJ/FinCEN in the Samantha Smith case, meaning the Corporate Transparency Act (CTA) returns with no further active injunction blocking its enforcement.

Subject: FinCEN BOI Reports Due by January 13th to Avoid Penalties

We have an important FinCEN filing update to help your company avoid potential $591-per-day fines.

BOI reporting is back in effect and FinCEN has extended certain filing deadlines only until January 13, 2025, for most companies.

On December 23, 2024, the Fifth Circuit Court of Appeals issued a stay on the district court’s nationwide injunction against the Corporate Transparency Act (CTA). This stay reinstated the requirement to file Beneficial Ownership Information (BOI), and FinCEN has provided the updated filing deadlines listed below:
1. Pre-2024 Existing Companies
Companies created or registered before January 1, 2024, must file their initial BOI reports by January 13, 2025 (instead of the original January 1, 2025, deadline).
2. September 4–December 23 Newly Formed Companies
Companies created or registered on or after September 4, 2024, with a filing deadline between December 3 and December 23, 2024, must now file by January 13, 2025.
3. December 3–23 Newly Formed Companies
Companies created or registered between December 3 and December 23, 2024, have an additional 21 days beyond their original filing deadline to submit their initial reports.
4. Disaster Relief
Companies qualifying for disaster relief may have filing deadlines that extend beyond January 13, 2025. In such cases, please adhere to whichever deadline is later.

What This Means for Your Business: If your company is not exempt from filing BOI reports, we strongly recommend collecting identification documents from anyone with at least 25% ownership or substantial control and preparing to file as soon as possible.

On Tuesday, December 3, 2024, in the case of Texas Top Cop Shop, Inc., et al. v. Garland, et al., No. 4:24-cv-00478 (E.D. Tex.), the U.S. District Court for the Eastern District of Texas, Sherman Division, issued an order granting a nationwide preliminary injunction. On December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit granted a stay of the district court’s preliminary injunction enjoining the Corporate Transparency Act (CTA) entered in the case of Texas Top Cop Shop, Inc. v. Garland, pending the outcome of the Department of the Treasury’s ongoing appeal of the district court’s order. .. reporting companies, except as indicated below, are once again required to file beneficial ownership information with FinCEN. However, because the Department of the Treasury recognizes that reporting companies may need additional time to comply given the period when the preliminary injunction had been in effect, we have extended the reporting deadline as follows:
• Reporting companies that were created or registered prior to January 1, 2024, have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN. (These companies would otherwise have been required to report by January 1, 2025.)
• Reporting companies created or registered in the United States on or after September 4, 2024 that had a filing deadline between December 3, 2024 and December 23, 2024, have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN.
• Reporting companies created or registered in the United States on or after December 3, 2024 and on or before December 23, 2024, have an additional 21 days from their original filing deadline to file their initial beneficial ownership information reports with FinCEN.
• Reporting companies that qualify for disaster relief may have extended deadlines that fall beyond January 13, 2025. These companies should abide by whichever deadline falls later.
• Reporting companies that are created or registered in the United States on or after January 1, 2025, have 30 days to file their initial beneficial ownership information reports with FinCEN after receiving actual or public notice that their creation or registration is effective.

CONGRES Delaying Some BOI Reporting Requirements (updated Dec. 21)
There will be a one-year delay for pre-January 1, 2024 reporting companies

December 21, 2024 update: House Republicans torpedoed the original continuing resolution due to pressure from incoming President Trump and Elon Musk. Congress eventually passed a continuing resolution and averted a government shutdown, but there was no BOI extension included in the final bill. The deadline for compliance for pre-January 1, 2024 entities remains January 1, 2025. The preliminary injunction currently in effect makes BOI reporting voluntary for now; it could be stayed by the Fifth Circuit at any time as all briefs have been filed in the government’s appeal.

Under existing beneficial ownership information (BOI) reporting regulations, reporting companies that were formed or registered before January 1, 2024 had until January 1, 2025 to file an initial report.

However, due to a lack of education and a district court preliminary injunction (which is getting an expedited review in the Fifth Circuit Court of Appeals), tens of millions of reporting companies have not complied with the reporting requirement.

Add to this that Congress has four days to pass a continuing resolution; if it does not become law by December 20, 2024, the federal government will shut down. Congress usually adds unrelated tidbits to these funding bills.

In the bipartisan bill released this evening, Congress amended 31 U.S.C. 5336 as follows:

In accordance with regulations prescribed by the Secretary of the Treasury, any reporting company that has been formed or registered ‘before January 1, 2024, shall, not later than January 1, 2026, submit to FinCEN a report that contains the information described in paragraph (2).
