If you’re thinking about starting a business, don’t make this mistake.

I have a client who had been talking about starting a business for years.

They finally decided to pull the trigger. They quit their job then spent the next three months designing their logo, branding, website, business cards, and office space.

By the time they were ready to launch, they were out of money.

I was recommend you start with your revenue plan. Everything else will follow, but if you don’t have cash, you have nothing.

If you're a W-2 employee, there are a few levers you can pull for tax planning without starting a business.

One is the short-term loophole strategy, which allows you to bypass the passive loss rules and take ordinary losses, if structured properly.

This works well when paired with a cost segregation study, which expedites depreciation expense.

A client recently got in trouble for misclassifying workers as contractors when they should’ve been employees.

There’s no need to make this mistake… the rules are very clear, and the risks far exceed the benefits.

Just because you say someone is a contractor doesn’t make them one.

The IRS and a slew of other govt entities will always look at the facts and circumstances.

Don’t mess this up… the first disgruntled worker that leaves your company and complains that they should’ve been an employee can cost you tens of thousands in back pay and penalties.

If you're thinking about your exit options, whether that's now or in the distant future, you have to change one thing first.

Remove yourself from the emotional roller coaster.

Just step off the ride. You've been on it long enough, and it's not serving you.
Sellers that are emotionally tied to their business end up during a sale either:

(a) killing the deal because they get offended by a business-driven judgment, or

(b) get so invested in the process that they end up conceding just to get the deal done.

Do this instead. Write an objective profile of your business using facts. Run it through your favorite AI and ask for a SWAT analysis.

Your goal is to change your perspective from a legacy owner whose identity is tied to the success of their business to a potential buyer looking at your business from an ROI lens.

They don't care how much you've invested to get the business to this point, financially or emotionally.

They don't care about the struggles, blood, sweat, or tears you've put into this thing. They care about this being a good investment for them.

So focus your efforts on showing them why that's the case. And if you need help telling your story, hit me up.

Buying a business is not like buying a home.

It’s closer to buying a piece of artwork.

Great minds will differ on the value.

Your accountant, your lawyer, and your lender will all find different critiques.

The story you hear from a business broker will paint every imperfection in a positive light.

In reality, no business is perfect. Most are deeply flawed, which is where the opportunity lies.

You have 4-8 weeks of due diligence to find the skeletons and decide if they are acceptable for the asking price.

I’ve seen too many business owners go out alone to save a buck only to pay for it dearly on the backend.

Fabricated books.

Undisclosed customer disputes.

Bad employee morale.

A dry pipeline from a burned out seller.

So many unresolved operational issues sitting on the back burner.

DIY buyers who just see gross revenue and get 🤑

You don’t have to be scared of the issues, but you do need to go into it with eyes wide open, which almost always means getting professional help.
