“A Beneficial Ownership Information (BOI) report is a filing with the Financial Crimes Enforcement Network (FinCEN) that discloses information about a company's beneficial owners. The BOI report is required for many companies in the United States, including corporations, limited liability companies (LLCs), and foreign companies registered to do business in the US.
BOI reporting
What to report
Name, address, date of birth, and unique identifying number for each beneficial owner
When to file
Initial BOI report is due by January 1, 2025 for companies created before January 1, 2024. Companies created in 2024 must file within 90 days, and companies created in 2025 and later must file within 30 days.
How to file
Electronically through the BOI E-Filing system on the FinCEN website
Who can file
An employee, owner, or third-party service provider with the authority from the reporting company
Penalties
Civil penalties of up to $591 per day, and criminal penalties of up to two years in prison and/or a $10,000 fine for willful failure to comply”
