BOI Reporting – What’s up with that!? 🤔
The Corporate Transparency Act was passed by Congress in 2021. This requires businesses to file something known as Beneficial Ownership Information (BOI), and it’s a hot topic 🔥 in the business world right now.
💡 So, what is it and why are people talking about it?
In its simplest form, BOI identifies the individuals who directly or indirectly own or control a company. Only businesses that filed with their Secretary of State (LLCs, Corporations, etc.) need to file this information 📑.
⚠️ Important Deadline: If this information is not filed by January 1, 2025, hefty fines 💸 and possible jail time 🚔 could be enforced.
However, BIG NEWS 📰 regarding the BOI filing was in the headlines this week! On Tuesday, December 3, a federal district court in Texas issued an order prohibiting the enforcement of the Corporate Transparency Act and BOI Reporting ⚖️.
What does this mean? 🤷♂️
According to the Journal of Accountancy, reporting companies do not need to comply with the January 1, 2025 reporting deadline (for now).
👉 Still Important: If you are a business with a BOI filing requirement, stay prepared to file this if the order is reversed ✅.
