Luntadila Paulo CPA - Exit Planning for Retiring Business Owners I am a CPA & M&A advisor helping retiring business owner prepare their business to exit at top dollar. Hi there!

My name is Luntadila Paulo, and I’m a small business CPA and M&A advisor who helps self-employed individuals and business owners leverage their businesses to create lasting wealth. As a former investment banker, I have valued and advised both sellers and buyers on transactions aggregating over $150 million in enterprise value. I’m excited to speak with you and help you get clarity on how to increa

se the value of your business, while maximizing your net worth and cash flow, and reducing the risk of undervaluation of your firm. If you feel like you are not sure how to prepare your business for sale, or how to position your company to fetch top dollar when you sell it, or yet, how to create and implement a successful succession plan...

I might be able to save you hundreds of thousands of dollars and dozens of hours of your precious time in just one 30-minute phone call. On this call, I will analyze your corporate structure, financial and accounting system, business strategy, products and services, client acquisition and relationship processes, and human resources capabilities, to name a few. This will help you determine whether your company is prepared for succession in the foreseeable future or the next 3 to 5 years; and more importantly, whether your business sale would deliver the cash inflow you expect. This complimentary Business Sale Preparedness Analysis session has no obligation whatsoever, and I'll hold nothing back. After discussing your business and exit goals, you'll have complete clarity and peace of mind about where you stand and where you're headed. If you require my assistance in executing the plan we establish during our call, I'd be delighted to discuss working together. However, you don't have to become my client to get significant value from our conversation. If you want to take control of your financial future and keep more of your hard-earned money…

Haven’t filed your tax return yet?

The IRS may eventually prepare a substitute return for you.

But here’s the problem:

They won’t be looking for every deduction, credit, or refund you may be entitled to.

They’ll use the information they have — and that could mean a bigger tax bill than necessary.

Don’t let the IRS guess for you.

File your return properly and find out where you actually stand.

Quick reminder: even if someone else prepares your return, it’s still filed under your name.

These are 5 issues we often catch in tax return reviews — and #5 happens the most: not reviewing everything before it’s filed.

🚩 5 red flags your tax return was fraudulently prepared

If your refund is huge and you can’t explain why, pause before you celebrate.

Some preparers inflate refunds using fake deductions or made-up income/expenses—and the IRS can come back to you.

Watch for:

🚩 Unusually large refund with no clear reason

🚩 Deductions you don’t recognize

🚩 Surprise Schedule C or K-1 you never had

🚩 Missing preparer name/PTIN

🚩 Rushed “just sign” pressure

If anything feels off, get a second review.

Some preparers are manufacturing fake Schedule C losses to inflate refunds - then routing the refund to their “tax bank account” first and sending you the leftovers.

That’s not a “mistake.” That’s tax fraud—and it can put people in JAIL.

If you suspect anything shady on your return:

-> Alert the IRS

-> Alert the police

-> Hire a CPA with strong ethical standards to amend and protect you

Swipe and see how the IRS typically interprets each one.

If you’re 1099/self-employed and want peace of mind, DM “SCHEDULE C” and we’ll tell you what needs fixing.

Tipped worker in 2025? Don’t file before you understand this.

The new “No Tax on Tips” rule (tax years 2025–2028) may let you deduct up to $25,000 of qualified tips from your federal taxable income.

Who qualifies (high level):
✅ You earn tips in an occupation where tipping was customary and regular (before 12/31/2024).
✅ Your tips are reported (W-2/1099 and/or your own reporting).
⚠️ The deduction phases out if your MAGI is over $150,000 (Single/HOH) or $300,000 (MFJ).
🚫 If you’re married filing separately, this deduction is not available.

What counts as a “qualified tip”:

A qualified tip must be voluntary, set by the customer, and paid as cash or charged tips (example: cash, credit/debit card tips, and tips shared through a tip pool).
⚠️ Automatic gratuities / mandatory service charges are not tips (they’re treated differently).

Quick example:

If you reported $18,000 in tips in 2025 and you qualify, you may be able to deduct up to $18,000 (up to the $25,000 cap). That can translate into thousands in federal income tax savings depending on your bracket.

For employers (how to structure this correctly):

If your business uses mandatory service charges, don’t assume they qualify. If you want employees to benefit, structure compensation so tips are truly optional, clearly labeled in the POS, and properly tracked/reported—without reclassifying wages as tips.
