VAT refund risk rules have been clarified again.

ANAF Order 1,425/2026 updates the procedure shortly after Order 1,123/2026. At least one listed risk situation is sufficient for registration in the special risk database following ANAF’s analysis. Supplier affiliation is no longer a separate criterion, while checks of supplier records and VAT reporting remain relevant.

Review the period generating the refund and reconcile your returns with e-Factura and supporting records. PKF Econometrica can help you assess discrepancies before submission.

Criteriile de risc pentru rambursarea TVA au fost clarificate din nou.

Ordinul ANAF nr. 1.425/2026 actualizează procedura la scurt timp după Ordinul nr. 1.123/2026. Identificarea a cel puțin unei situații de risc prevăzute este suficientă pentru înscrierea în baza specială, în urma analizei ANAF. Afilierea cu furnizorul nu mai este un criteriu distinct, însă verificarea furnizorilor și a raportărilor TVA rămâne relevantă.

Verifică perioada din care provine suma solicitată și reconciliază deconturile cu e-Factura și documentele justificative. PKF Econometrica te poate sprijini în analiza neconcordanțelor înainte de depunere.

Planning a transfer of shares in a Romanian SRL? Include the tax formalities in your transaction timetable.

Order 1,137/1,967/C/2026 establishes the ANAF–ONRC procedure for transfers covered by Law 239/2025. Notify ANAF within 15 days, provide the transfer deed and updated articles, and review the company’s tax position.

Outstanding liabilities may require payment or guarantees. New arrears before registration can affect the process.

RO - Pregătești o cesiune de părți sociale într-un SRL? Include formalitățile fiscale în calendarul tranzacției.

Ordinul nr. 1.137/1.967/C/2026 stabilește procedura ANAF–ONRC pentru cesiunile vizate de Legea nr. 239/2025. Notifică ANAF în 15 zile, depune actul de cesiune și actul constitutiv actualizat și verifică situația fiscală a societății.

Restanțele pot necesita plată sau garanții. Apariția unor noi datorii înainte de înregistrare poate influența procedura.

📌 Share capital increase becomes mandatory for many SRLs

Under Law no. 239/2025, the minimum share capital of an SRL is set according to the net turnover reported in the annual financial statements.

What you need to know:
✔️ Net turnover above RON 400,000 → minimum share capital of RON 5,000
✔️ Legal compliance deadline: 18 December 2027
✔️ Increases completed by 31 December 2026 benefit from a 50% reduction in the publication fee for the Official Gazette, Part IV

Our recommendation: check early whether your company falls under this obligation and start the process as soon as possible.

A new employee benefit to assess for 2027.

Law 202/2026 introduces savings and investment accounts (CEI) from January 1st 2027. The deductible account, CEI-D, may receive employer contributions with payroll tax exemptions within the applicable combined monthly ceiling of 33% of basic salary.

Before implementation, review eligibility, payroll treatment and the long-term conditions for accessing the funds with your tax and HR advisers.

RO - Un nou beneficiu pentru angajați, de analizat pentru 2027.

Legea nr. 202/2026 introduce conturile de economii și investiții (CEI) de la 1 ianuarie 2027. Contul cu regim de deductibilitate, CEI-D, poate primi contribuții ale angajatorului cu scutiri de taxe salariale, în limita plafonului lunar cumulat aplicabil de 33% din salariul de bază.

An important change in how anti-fraud inspections are conducted.
ANAF Orders no. 898 and 899/2026 (Official Gazette no. 629 of July 30, 2026) approve the procedure through which anti-fraud inspectors may record inspection activities using photo, audio, and video means. Storage and access of the recorded material are also regulated.
What the procedure provides:
🔹 Recordings are made using the photo, audio, and video equipment provided to inspectors
🔹 Clear rules for the storage and access of the recorded material
🔹 Recordings may be used as evidence in the findings of the tax authority
🔹 The taxpayer must be informed about the recording, in line with GDPR and the right to defense
🔹 Informing taxpayers about the use of photo, audio, and video means is also regulated separately by ANAF Order no. 851/2026, concerning the actual use of these means
A recorded inspection changes the nature of the interaction. Every verbal statement can later be verified. Preparation for an anti-fraud inspection now includes preparing the person who will communicate directly with the inspectors — not just the documents.
