: Higher Net Benefit for workers

BIR increased the ceiling for non-taxable De Minimis Benefits of government and private sector employees which will result to higher take home benefits.

Pursuant to Revenue Regulation No. 029-2025 dated October 27, 2025, the following De Minimis Benefits are exempt from income tax:

1. Monetized unused vacation leave credits of private employees not exceeding twelve (12) days during the year (previously 10 days);

2. Monetized value of vacation and sick leave credits paid to government officials and employees;

3. Medical cash allowance to dependents of employees not exceeding P2.000.00 per
employee per semester or P333.00 per month (previously ₱1,500.00);

4. Rice subsidy of P2,500.00 or one (1) sack of 50 kg. rice per month amounting to
not more than P2.500.00 (previously ₱2,000.00 per month);

5. Uniform and clothing allowance not exceeding P8,000.00 per annum (previously ₱7,000.00 per year);

SEC Notice: “𝗘𝗮𝗿𝗹𝘆 𝗖𝗼𝗻𝗱𝘂𝗰𝘁 𝗼𝗳 𝗔𝗻𝗻𝘂𝗮𝗹 𝗦𝘁𝗼𝗰𝗸𝗵𝗼𝗹𝗱𝗲𝗿𝘀’ 𝗠𝗲𝗲𝘁𝗶𝗻𝗴𝘀 (𝗔𝗦𝗠)

The Securities and Exchange Commission (SEC), through the Markets and Securities Regulation Department (MSRD), has issued guidelines on the early conduct of Annual Stockholders’ Meetings (ASM).

Companies intending to hold their ASM earlier than the date specified in their bylaws must ensure that the early conduct is supported by a justifiable reason, approved by the Board of Directors, and properly disclosed to the SEC.”

The Securities and Exchange Commission has released Memorandum Circular No. 10, series of 2026, providing updated guidelines on reportorial compliance and the scale of penalties to ensure uniform monitoring and enforcement.

These guidelines aim to strengthen compliance standards and support transparency under the Revised Corporation Code.

The Securities and Exchange Commission (SEC) has moved to accelerate corporate filings, issuing new rules that slash processing times for companies seeking to amend their governing documents.

In a memorandum circular released Jan. 12, the regulator expanded the scope of its digital filing system to cover a wider range of corporate changes. The new guidelines, under Memorandum Circular No. 3, Series of 2026, govern how applications are classified and processed through the Electronic Application for Modification of Entity Data, or eAMEND, portal.

Micro enterprises are now exempted from submitting audited financial statements as part of their reportorial requirements, as the Securities and Exchange Commission (SEC) moves to streamline compliance and reduce regulatory burdens for small companies.

The Commission on January 20 issued Memorandum Circular No. 4, Series of 2026, providing the Amendments to the Application and Definition of Terms under Revised Rule 68 of Republic Act No. 8799, or the Securities and Regulation Code (SRC), in Relation to the Adjustment of the Audit Threshold.

The memorandum circular exempts both stock and nonstock corporations with total assets or liabilities not exceeding P3 million from submitting audited financial statements.

Previously, only stock and nonstock corporations with total assets or liabilities less than P600,000 were exempted from mandatory audit.
