Invoice vs Proforma Invoice β€” Know the Difference πŸ“Š

πŸ”Ή Invoice
A final bill issued after goods/services are delivered.
It is legally binding and used for payment and accounting records.

πŸ”Ή Proforma Invoice
A preliminary bill sent before delivery.
It is not legally binding and serves as a quotation or estimate.

βœ… In simple terms:

πŸ“˜ Excerpts from the Nigeria Tax Act (NTA)

Section 123: Charge of Duties (Stamp Duties)

β€œThere is imposed duties on instruments at the rates specified in the Ninth Schedule to this Act, subject to the exemptions contained in Part III of Chapter Eight of this Act, being any instrument which is:
(a) first executed in Nigeria; or
(b) executed outside Nigeria, and relates to any property situated or to any matter or thing done in Nigeria.”

πŸ” Layman Meaning:
Stamp duty is charged on documents that are signed in Nigeria, or signed outside Nigeria but relate to Nigerian property or matters.

πŸ’‘ Practical Example:
A contract for the sale of a Lagos property is signed in London. Stamp duty still applies because it relates to Nigerian property.

βš–οΈ Effect:
These businesses only pay tax on what they keep, after paying out prizes and expenses.

β€œ(2) In determining the assessable profits of lottery and gaming trade or business, the following deductions shall be allowed... (a) any amount paid as winnings, prizes or similar payments from the relevant Prize Fund; (b) agency commission expenses incurred; and (c) levies paid to relevant regulatory and government authorities.”
