🚨 “ABC & Co.” doesn’t automatically mean it’s a Company!

One of the most common misconceptions while starting a business is assuming that every business is a “company”.

👤 Proprietorship
🤝 Partnership Firm
🛡️ LLP
🏢 Private Limited Company

They may all run a business — but legally, they are very different structures.

And if you’re building a startup, choosing the right structure becomes even more important. 🚀

Planning to raise funds, bring in investors, issue shares or offer ESOPs?
👉 A Private Limited Company is generally the preferred structure.

Want a closely held business with relatively simpler compliance?
👉 An LLP may be worth considering.

Your business structure affects your liability, compliance, taxation, funding and future growth — so don’t choose it just because a name sounds professional.

💡 Choose the structure based on where you want your business to go.

Raised funds for your startup? STOP. Don't spend a single rupee yet! 🛑👇

Most founders celebrate a successful funding round by paying developer salaries, office rent, or vendor bills the very next day.
Here is the problem: That money is still "Application Money."
Under Section 42 of the Companies Act, spending application money before passing the board resolution for share allotment and filing Form PAS-3 with the RoC is illegal.
🚨 The Penalty: Fines up to the entire amount raised or ₹2 Crores, plus heavy interest on refunds if you fail to complete compliance in time.
The Correct Sequence:
Keep funds in a separate bank account.
Hold a Board Meeting & allot shares.
File Form PAS-3 with the RoC.
NOW you can spend the funds!
Save this reel so you don't make this costly mistake! 📌
Struggling with corporate compliance or share allotment for your fundraise? Drop a comment or DM us "PAS3" and let’s get it fixed before RoC notices hit! 💼✨

Raising your first ₹10 Lakhs from Friends & Family? Read this before accepting that bank transfer! 🚨
It’s super common for early-stage founders to turn to friends, relatives, and batchmates for their initial pre-seed funding. But taking money on a handshake deal or an informal agreement can kill your startup legally.
Here are the 3 biggest legal mistakes founders make during Friends & Family rounds:
1️⃣ Ignoring Section 42 (Private Placement): You cannot simply issue shares against cash received. You need a formal offer letter (PAS-4), board resolutions, and statutory filings (PAS-3) within strict ROC timelines.
2️⃣ Violating Deposit Rules: Taking money as a "loan" from friends who are neither Directors nor designated relatives can be classified as accepting illegal corporate deposits.
3️⃣ Skipping Valuations: Issuing equity without a certified Registered Valuer report can trigger tax liabilities under income tax provisions.
💡 How to do it legally:
Issue Convertible Notes (CN) if you are a DPIIT-recognized startup.
Issue CCPS (Compulsory Convertible Preference Shares) to defer exact valuation discussions.
Execute a proper Share Subscription Agreement (SSA) and complete your ROC filings!

Working at a top MNC comes with great perks like RSUs and ESPPs. But it also comes with a massive compliance trap that most people miss until the Tax Department sends a notice. 🛑
Here is the breakdown of how your foreign shares are actually taxed:
🔹 Perquisite Tax (At Vesting/Purchase): When RSUs vest or you buy ESPPs at a discount, that value is treated as part of your salary. Your company usually deducts TDS here by selling a portion of your shares.
🔹 Capital Gains Tax (At Sale): When you finally sell those shares, any profit you make from the vesting price is taxed as Capital Gains.
🔹 Schedule FA (Every Single Year): Even if you don't sell, you must declare these foreign assets every year in your ITR under Schedule FA. Failing to do so can attract a flat ₹10 Lakh penalty under the Black Money Act.
The biggest hidden trap? The Forex Rate. 💸
You cannot just use Google or XE.com to convert your USD to INR. The tax department strictly requires the SBI Telegraphic Transfer Buying Rate (TTBR) from specific dates of the month.
Don't let your hard-earned tech perks get wiped out by compliance errors.

Headline: 🎯 Old vs. New Tax Regime: Which one actually saves you money?

Let’s keep it simple. The right choice completely depends on your investment habits:

🔹 Choose the NEW Regime if:

You want lower tax rates without the hassle of investing just to save tax.

Your income is up to ₹7 Lakhs (thanks to the rebate, tax is Nil!).

You prefer liquidity over locking your money down in ELSS or PPF.

🔹 Choose the OLD Regime if:

You have significant deductions like HRA, Home Loan Interest (Section 24), and insurance.

You easily exhaust your ₹1.5 Lakh limit under Section 80C.

💡 Quick Thumb Rule: For most middle-income earners, if your total eligible deductions are less than ₹2.5 Lakhs, the New Regime is generally more beneficial.

Tell me in the comments—are you Team Old or Team New this year? 👇
