A company’s name is its identity. Sometimes, it so happens that it needs to be changed and the decision is usually taken after a consensus being reached during a general meeting.

According to Section 13 (1), a special resolution needs to be passed during the general meeting as it involves the alteration of the Memorandum of association (Clause 1). As per Section 13 (2), the approval of the Central Government is also required for changing the name of a company.
