LLP or Private Limited Company?
Many entrepreneurs make this decision based on a friend's recommendation, a consultant's preference, or what everyone else seems to be doing.
After 28 years in practice, we have seen businesses spend lakhs correcting a structure that was wrong from the beginning.
Before you decide, consider these factors:
📌 𝗔𝘂𝗱𝗶𝘁 𝗥𝗲𝗾𝘂𝗶𝗿𝗲𝗺𝗲𝗻𝘁𝘀
An LLP requires an audit only when prescribed thresholds are crossed.
A Private Limited Company requires a statutory audit every year, regardless of turnover.
📌 𝗖𝗼𝗺𝗽𝗹𝗶𝗮𝗻𝗰𝗲 𝗖𝗼𝘀𝘁
Board meetings, annual filings, statutory registers, ROC compliance and documentation all add to the compliance burden.
For many small businesses, maintaining a Private Limited Company can cost significantly more than an LLP.
📌 𝗧𝗮𝘅 𝗜𝗺𝗽𝗹𝗶𝗰𝗮𝘁𝗶𝗼𝗻𝘀
Comparing only tax rates can be misleading.
Profit distribution, partner remuneration, dividend taxation and long-term cash flow often matter more than the headline rate itself.
📌 𝗦𝗲𝗰𝘁𝗶𝗼𝗻 𝟭𝟵𝟰𝗧
From 1 April 2025, specified payments made by LLPs and firms to partners above ₹20,000 annually may attract TDS obligations.
Ignoring this can lead to interest and compliance consequences.
📌 𝗙𝘂𝗻𝗱𝗶𝗻𝗴 𝗣𝗹𝗮𝗻𝘀
If you expect angel investment, venture capital, ESOPs or external investors in the future, a Private Limited Company is generally the preferred structure.
⚠️ 𝗔 𝗖𝗼𝘀𝘁𝗹𝘆 𝗟𝗟𝗣 𝗠𝗶𝘀𝘁𝗮𝗸𝗲
Late MCA filings for LLPs attract a penalty of ₹100 per day with no upper limit.
