Overview of Singapore’s Nominee Director Regime

The English term for a nominee director is commonly referred to a nominal director, nominated director or name-only director. For foreign investors planning to establish a company in Singapore, a nominee director is a commercial arrangement frequently encountered in the process of company registration and subsequent operations.

Singapore allows foreign investors to hold 100% of the shares of a local company. At the same time, however, a company must have at least one director who is ordinarily resident in Singapore. For investors whose shareholders and management personnel all reside overseas on a long-term basis, a nominee director is a common arrangement formed to satisfy this requirement.

In recent years, Singapore has significantly strengthened the regulation of corporate service providers and nominee director services. On 9 June 2025, Singapore’s Corporate Service Providers Act 2024 (the “CSP Act”) officially came into effect, and ACRA’s central Register of Nominee Directors (ROND) was also implemented at the same time.

However, this commercial arrangement of nominee directors can easily cause misunderstandings among investors: Is a nominee director merely someone whose name is registered in the company’s records, without assuming actual responsibilities and therefore without any risks? How can the substantive director safeguard his or her own rights and interests? This article intends to provide a brief overview of the background, legal nature and regulatory requirements of nominee directors for the reference of Kaizen’s clients.

1. Nominee Director Arrangements Arise from the Local Director Requirement

According to Singapore’s company registration rules, a company must have at least one director who meets the local residency requirement. This requirement does not restrict the shareholding percentage of foreign investors. Overseas individuals or enterprises may still hold 100% of the shares of the company.

In other words, Singapore’s company system actually distinguishes between two levels:

The ownership of a company may belong entirely to foreign investors, but the company’s governance structure must still retain at least one local resident director.

For foreign investors who reside overseas on a long-term basis and do not have a suitable person to serve as a local director, a nominee director arrangement may be adopted, under which a person who meets Singapore’s local residency conditions serves as a director of the company, in order to satisfy the local director requirement in the establishment and continuing operation of the company.

Therefore, a nominee director is, in essence, not a restriction on the shareholding percentage of foreign investors, but a corporate governance arrangement.

2. A Nominee Director Is Not Merely a Name-Only Director

The most important point in understanding a nominee director is that a nominee director is first a company director and only then an agent entrusted by another person. “Nominee” describes the relationship between the director and the person who appoints him or her, and does not change the director’s legal identity as a company director. In commercial practice, a nominee director usually cannot directly participate in the company’s daily operations. The company’s business development, customer relationships, funding arrangements and commercial decisions are still mainly handled by the overseas shareholders or the actual management team. However, this does not mean that a nominee director merely “lends a name” to complete the company registration.

Once formally registered as a director, the nominee director must still bear the corresponding director’s obligations in accordance with the law. The company and the nominee director may specify the scope of their respective responsibilities and the information communication mechanism through an agreement, but a private agreement cannot automatically exclude the statutory obligations imposed by law on the director personally. Therefore, if the company has long-term failures to make filings, engages in unlawful operations or has other major compliance issues, the nominee director cannot automatically be exempted from liability merely on the ground that “I am only a nominee director”.

3. Standardization of Nominee Director Services

The Singapore CSP Act, which officially came into effect in June 2025, introduced unified regulatory requirements regarding the qualifications of entities providing nominee director services as a commercial service and the relevant entry requirements.

(1) Any institution engaged in commercial services such as company secretarial services, registered address hosting and nominee director arrangements must complete registration with ACRA and obtain a CSP business license as a Corporate Service Provider, while fully fulfilling anti-money laundering and counter-terrorism financing compliance obligations.

(2) The provision and arrangement of nominee directors for commercial purposes and for remuneration may only be carried out by licensed CSP institutions. Unqualified individuals and intermediaries are not permitted to commercially provide nominee director-related services, and violations will be subject to administrative penalties.

(3) Before appointing a nominee director, a CSP institution must conduct a strict Fit-and-Proper assessment. It must examine the proposed nominee director’s bankruptcy records, dishonesty records, criminal history and circumstances in which his or her qualification to serve as a director is restricted. Only persons who pass the assessment may serve as nominee directors.

This means that Singapore is currently not restricting the commercial arrangement of nominee directors itself, but is further raising the level of standardisation of such services. The model that may have existed in the market in the past, where “one person simultaneously provided his or her name to a large number of companies for registration while knowing almost nothing about the actual circumstances of the relevant companies”, is gradually being subject to stricter regulation.

At the same time, the relationship between a nominee director and the person behind the appointment is also being further brought into the regulatory system. Singapore companies are required to establish and maintain relevant nominee director registration information and submit relevant information to ACRA where required.

It can be seen from this change that Singapore’s regulatory direction is very clear: nominee directors may continue to exist, but the appointment relationship behind them should remain transparent, and the directors themselves should also possess qualifications and capabilities corresponding to their legal responsibilities.

4. Points of Attention For Foreign Investors in Singapore

For foreign investors planning to establish a Singapore company through a nominee director arrangement, rather than understanding a nominee director as a formal requirement for completing company registration, greater attention should be paid to the continuing corporate governance responsibilities behind it.

Kaizen recommends that foreign investors pay particular attention to the following aspects when using nominee director services:

(1) First, it should be confirmed whether the relevant services are provided or arranged by a licensed Corporate Service Provider (CSP) registered with ACRA.

(2) Second, an appropriate information communication mechanism should be established to ensure that the nominee director is able to learn in a timely manner about important information such as the company’s main business, bank accounts, major transactions and actual controllers.

(3) Third, the boundaries of rights and responsibilities should be clearly divided through a nominee agreement, specifying that the nominee director does not participate in the company’s daily operation and management, and making arrangements regarding the review of major matters, document signing authority, appointment, resignation and replacement mechanisms.

(4) Finally, the company’s actual business and fund flows should remain genuine and transparent, so as to ensure that the nominee director is able to fulfil the necessary corporate governance and compliance obligations.

In summary, a Singapore nominee director is not simply a “name-only” arrangement, but a lawful corporate governance mechanism that enables foreign investors to meet the local director requirement. A nominee director may serve as a local director on behalf of a foreign investor, but his or her status as a director and legal responsibilities genuinely exist. A nominee relationship may exist, but the appointment relationship behind it must remain transparent and be subject to corresponding regulation. This is also the core logic behind Singapore’s continued regulation of nominee directors in recent years.

新加坡代理董事被納入監管

代理董事的英文為Nominee director, 中文也常被稱為掛名董事、提名董事或是名義董事,對於計畫在新加坡設立公司的境外投資者而言,代理董事是公司註冊及後續運營過程中經常接觸到的一項商業安排。

新加坡允許外國投資者100%持有當地公司的股份,但與此同時,公司至少應有一名通常居住在新加坡的董事。對於股東及管理人員均長期居住在境外的投資者而言,代理董事正是為滿足這一要求而形成的一種常見安排。

近年來,新加坡明顯加強了對公司服務機構及代理董事服務的監管。2025年6月9日,新加坡《2024年企業服務提供者法案》(Corporate Service Providers Act 2024,CSP法案)正式生效,配套的ACRA中央代理董事登記制度(Register of Nominee Directors, ROND)也同步實施。

但是,代理董事這一商業安排容易使投資者產生誤解:代理董事是否只是將姓名登記在公司資料中,並不承擔實際責任,也因此沒有任何風險?實質董事如何保障自身的權益?本文擬從代理董事的形成背景、法律性質及監管要求等方面作簡要梳理,供启源客戶閱讀參考。

一、 代理董事安排源于本地董事要求

根據新加坡公司登記規則,公司至少應有一名符合本地居住要求的董事。這一要求並不限制外國投資者對新加坡公司的持股比例。境外個人或企業仍然可以100%持有公司股份。

換言之,新加坡公司制度實際上區分了兩個層面:

公司的所有權可以完全屬於境外投資者,但公司的治理結構中仍應保留至少一名本地居民董事。

對於長期居住海外、且沒有合適人士擔任本地董事的境外投資者,可以通過代理董事安排,由符合新加坡本地居住條件的人士擔任公司董事,以滿足公司設立及持續運營中的本地董事要求。

因此,代理董事本質上並不是對外國投資者股權比例的限制,而是一項公司治理安排。

二、 代理董事並非單純掛名

理解代理董事,最重要的一點是:代理董事首先是一名公司董事,其次才是一名接受他人委託的代理人。Nominee描述的是該董事與其委任人之間的關係,並不會改變其作為公司董事的法律身份。在商業實踐中,代理董事通常不能直接參與公司的日常經營,公司的業務發展、客戶關係、資金安排及商業決策仍主要由境外股東或實際管理團隊負責,但這並不意味著代理董事只是“借一個名字”完成公司註冊。

只要被正式登記為董事,其仍需依法承擔相應的董事義務。公司與代理董事之間可以通過協定明確雙方的職責範圍和資訊溝通機制,但私人協議不能當然排除法律對董事本人設置的法定義務。因此,如果公司出現長期未申報、違法經營或其他重大合規問題,代理董事不能僅以“本人只是掛名董事”為由當然免責。

三、 代理董事服務規範化

自2025年6月起正式實施的新加坡CSP法案,對供代理董事這一商業服務的主體資質及有關准入規則作出了統一性的監管要求。

1、 凡從事公司秘書服務、註冊位址託管、代理董事安排這類商事服務的機構,必須向 ACRA 完成註冊並取得企業服務提供者CSP經營牌照,同時全面履行反洗錢、反恐怖融資合規義務。

2、 以商業目的有償提供代理董事的配置和安排業務,僅允許持牌CSP機構開展 。無資質個人及仲介不得經營性提供代理董事相關服務,違規將面臨行政處罰。

3、 CSP 機構在委任代理董事前,應開展嚴格的適任性評估(Fit‑and‑Proper)。核查擬出任代理董事的破產記錄、失信情況、犯罪履歷及董事任職資格受限情形,僅審核合格人員方可任職。

這意味著,新加坡目前並不是限制代理董事這一商業安排本身,而是在進一步提高該項服務的規範程度。過去市場中可能存在的“一個人同時為大量公司提供姓名用於註冊,卻幾乎不瞭解相關企業實際情況”的模式,正逐步受到更嚴格的監管。

與此同時,代理董事與其背後的委託人關係也正在進一步納入監管體系。新加坡公司需要建立並維護相關代理董事登記資料,並在符合規定的情況下向ACRA提交相關資訊。

從這一變化可以看出,新加坡監管方向十分明確:代理董事可以繼續存在,但其背後的委任關係應當保持透明,董事本人亦應具備與其法律責任相匹配的資格和能力。

四、 新加坡境外投資者的關注點

對於計畫通過代理董事安排設立新加坡公司的境外投資者而言,與其將代理董事理解為完成公司註冊的一項形式要求,更應關注其背後的持續性公司治理責任。

启源建議,境外投資者在採用代理董事服務時,可以重點關注以下幾個方面:

1、 首先,應確認相關服務是否由ACRAI註冊的持牌企業服務提供者(CSP)提供或安排。

2、 其次,應建立適當的資訊溝通機制,保障代理董事能夠及時知悉公司主要業務、銀行帳戶、重大交易及實際控制人等重要資訊。

3、 再次,應通過代理協定清晰劃分權責邊界,明確提名董事不參與公司日常經營管理,就重大事項審閱、檔簽署許可權、委任及辭任替換機制作出約定。

4、 最後,公司實際業務及資金往來應保持真實、透明,以保障代理董事能夠履行必要的公司治理及合規義務。

總而言之,新加坡代理董事並不是一種單純的“掛名”安排,而是為境外投資者滿足本地董事要求提供的一種合法公司治理機制。代理董事可以代表境外投資者擔任本地董事,但其董事身份和法律責任是真實存在的;代理關係可以存在,但其背後的委任關係需要保持透明,並接受相應監管。這也是新加坡近年來持續規範代理董事的核心邏輯。

日本工傷保險 – 遺屬(補償)等補助

工傷保險(日文“労災保険”)對象的勞動者因業務或通勤的原因導致死亡,其遺屬可以申請領取遺屬補償補助、複數事業勞動者遺屬補助、或遺屬補助,合稱“遺屬(補償)等補助”。厚生勞動省在2023年1月13日的工傷保險財政暢談會中公佈,工傷保險財政2021年全年實際支出11,885億日元,發放遺屬(補償)等補助額累計達1,904億日元,其中包括年金1,814億日元、預付一次性補助金20億日元、實付一次性補助金為70億日元。遺屬(補償)等補助支出占全年實際支出的16%以上,是工傷保險下的第二大補助。

本指引中,啓源將參照日本厚生勞動省資料,簡要介紹日本工傷保險制度中的遺屬(補償)等補助,提供給啓源的現有客戶及潛在客戶作參考。另外,本所可提供日本社會保險加入及工資計算之服務,如有需要,可進一步聯繫本所專業顧問。

本文介紹之遺屬(補償)等補助,不包括涉及船員的工傷保險之遺屬(補償)等補助。

一、 補助條件

遺屬(補償)等補助,分為“遺屬(補償)等年金”及“一次性遺屬(補償)等補助金”兩類。

1、 遺屬(補償)等年金

勞動者死亡前,依靠死亡勞動者的收入維持生計的勞動者配偶(包括未辦理婚姻備案,但存在事實婚姻之配偶)、子女、父母、孫子女、祖父母、兄弟姐妹,具備領取遺屬(補償)等年金的資格。但是除勞動者的妻子之外,其他人士應在勞動者死亡時為一定高齡或低齡、或 殘障等級達第1~5級。配偶雙方均就業的,如一方死亡前,死亡一方的收入用於維持部分生計,亦適用遺屬(補償)等年金。

支付遺屬(補償)等年金的優先順位如下:
(1) 妻子、60歲以上或殘障等級達第1-5級的丈夫;
(2) 年齡未到滿18歲後的首個3月31日、或殘障等級達第1-5級的子女;
(3) 60歲以上或殘障等級達第1-5級的父母;
(4) 年齡未到滿18歲後的首個3月31日、或殘障等級達第1-5級的孫子女;
(5) 60歲以上或殘障等級達第1-5級的祖父母;
(6) 年齡未到滿18歲後的首個3月31日、或60歲以上或殘障等級達第1-5級的兄弟姐妹;
(7) 55歲以上60歲未滿的丈夫;
(8) 55歲以上60歲未滿的父母;
(9) 55歲以上60歲未滿的祖父母;
(10) 55歲以上60歲未滿的兄弟姐妹。

2、 一次性遺屬(補償)等補助金

如勞動者死亡時沒有具備領取遺屬(補償)等年金資格的遺屬,或所有領取遺屬(補償)等年金資格的遺屬失去資格(例如死亡勞動者的父母滿60歲且無殘障),且已支付的年金額及年金預付額不超過“補助基礎日額”的1,000倍,則根據優先順位,向最先順位者支付“一次性遺屬(補償)等補助金”(日文“遺族(補償)等一時金”)。

一次性遺屬(補償)等補助金的優先順位如下:
(1) 配偶;
(2) 勞動者死亡時,依靠勞動者的收入維持生計之子女、父母、孫子女、祖父母(排名按優先順位);
(3) 其他子女、父母、孫子女、祖父母;
(4) 兄弟姐妹。

二、 補助金額

1、 遺屬(補償)等年金

遺屬(補償)等年金、遺屬特別年金的金額取決於具備領取該年金資格之遺屬的人數,如有2人以上的遺屬,則金額根據人數平分、分別支付。具體金額如下表所示:

關於上表中“補助基礎日額”及“算定基礎日額”的定義,請參考本所編制之【日本工傷保險制度簡述】。此外,遺屬可獲得遺屬特別支付金,金額一律為300萬日元,根據人數平分、分別支付。

上表所記載之金額在每年的2月、4月、6月、8月、10月、12月分期支付予遺屬,每次支付前2個月的金額。

2、 一次性遺屬(補償)等補助金

針對勞動者死亡時沒有具備領取遺屬(補償)等年金資格的遺屬之情況,一次性遺屬(補償)等補助金的金額如下表所示:

死亡勞動者的遺屬如希望領取遺屬(補償)等年金,則應向管轄所在地的勞動基準監督署之署長,提交《遺屬補償年金・複數事業勞動者遺屬年金支付請求書》或《遺屬年金支付請求書》(日文“遺族補償年金・複数事業労働者遺族年金支給請求書”、“遺族年金支給請求書”);如希望領取一次性遺屬(補償)等補助金,則應向上述署長提交《一次性遺屬補償金・複數事業勞動者一次性遺屬補助金支付請求書》或《一次性遺屬補助金支付請求書》(日文“遺族補償一時金・複数事業労働者遺族一時金支給請求書”、“遺族一時金支給請求書”,以下均簡稱“支付請求書”)。

在提交支付請求書時,應同時提交的資料包括但不限於死亡診斷書、屍體檢案書、檢視調書、證明死亡勞動者死亡事實及死亡日期的資料、戶籍副本、領取年金人士與死亡勞動者的關係證明書、證明依靠死亡勞動者的收入維持生計的資料。針對同一死亡事實,遺屬另領取遺屬厚生年金、遺屬基礎年金、寡婦年金等補助時,應提交可確認上述補助金額的資料。

四、 申請手續

簡要而言,遺屬(補償)等補助的申請手續如下:

1、 死亡勞動者的雇主為該勞動者的遺屬在支付請求書上證明;
2、 死亡勞動者的遺屬在市區町村政府領取戶籍副本;
3、 負責死亡勞動者相關工作的醫生出具死亡診斷書等資料;
4、死亡勞動者的遺屬準備資料,填寫支付請求書後,將支付請求書提交至相應的勞動基準監督署;
5、 勞動基準監督署審查結束後,厚生勞動省將向遺屬支付補助。

特別支付金的申請,與遺屬(補償)等補助同時辦理。

五、 遺屬(補償)等年金的預支

領取遺屬(補償)等年金之遺屬,有且僅有1次申請年金預支的權利。預支年金的金額,可以是補助基礎日額的200倍、400倍、600倍、800倍或1000倍,由遺屬自行選擇。

六、 喪葬費(喪葬補助)

喪葬費(喪葬補助)的支付對象,通常是適合為死亡勞動者舉辦葬禮的遺屬,但不限於遺屬。例如死亡勞動者沒有可舉辦葬禮的遺屬,由雇主公司舉辦葬禮,則喪葬費(喪葬補助)的支付對象為該雇主公司。喪葬費的金額為【315,000日元+補助基礎日額×30】,最低不低於60倍補助基礎日額。

喪葬費的申請手續與遺屬(補償)等補助相同,如與遺屬(補償)等補助同時申請時,無需提供其他證明資料,只需提交《喪葬費或複數事業勞動者喪葬補助請求書》或《喪葬補助請求書》(日文“葬祭料又は複数事業労働者葬祭給付請求書”、“葬祭給付請求書”)。

Q&A on Redeemable Preference Shares in Malaysia

1. What is Redeemable Preference Share (“RPS”)?

RPS is a type of preference share that issued by a Malaysia company which can be redeemed by the company at an agreed price after a specified period subject to the terms and conditions attached with the shares.

2. How can RPS be issued?

Under the Companies Act 2016 (“the Act”), a Malaysia company may only issue RPS if its constitution clearly stated the rights attached with it, including when and how the shares may be redeemed and the redemption price.

3. What are the ways to redeem RPS?

Malaysia company can redeem its RPS through by out of profits, new issues of shares or capital of the company.

4. Can partly unpaid preference shares be redeemed?

No. The preference shares must be fully paid up before they can be redeemed. If the shares are only partly paid, the company must make them fully paid by either calling up the balance of issue price or capitalising the unpaid portion.

5. What is the redemption procedure for RPS?

The procedure for redemption of RPS are as follows:

(1) The Board of Directors must first pass a resolution approving the redemption, specifying the redemption date, redemption price, the number of shares to be redeemed, and the source of funds for the redemption (i.e. out of profit, out of issuance new shares or out of capital).

(2) Where applicable, the company lodges the required statutory documents with the Companies Commission of Malaysia ("CCM"), including the Return of Allotment (out of issuance of new shares) or the solvency statement under Section 113 of the Act (out of capital).

(3) The company send a notice of redemption to the preference shareholder and requests the surrender of the original share certificate for cancellation. Thereafter, the company may pay the redemption amount to the preference shareholder and cancel the redeemed preference shares and share certificate.

(4) The company shall lodge the Notice of Redemption pursuant to Section 72 of the Act with CCM within the 14 days from the redemption date together with a copy of the cancelled share certificate and update its Register of Members and the notification pursuant to Section 51 of the Act with CCM within 14 days.

不行。優先股只能在繳足股款的情況下方可贖回。如該股僅為部分繳足股款,公司須先透過催繳尚未繳付的股款,或將未繳付部分資本化,使其成為已繳足股款的股份後,方可進行贖回。

五、可贖回優先股的贖回流程為何?

可贖回優先股的贖回步驟如下:

1、 董事會須要先通過優先股贖回決議,並清楚列明贖回日期、價格、擬贖回股份數量,以及資金來源(即以公司利潤、發行新股份所得款項或公司資本進行贖回)。
2、 如適用,公司須向馬來西亞公司委員會(”CCM”)提交相關法定文件,包括股份配發申報表(Return of Allotment)(如以發行新股份所得款項贖回),或根據《公司法 2016》第113條提交償付能力聲明(Solvency Statement) (如以公司資本贖回)。
3、 公司須向優先股股東發出贖回通知,並要求股東交回股票證書以作註銷。隨後,公司可向優先股股東支付贖回款項,並註銷已贖回的優先股及相關股票證書。
4、 公司須在贖回優先股當天起十四天內,根據《公司法 2016》第72條向CCM提交贖回通知 (Notice of Redemption),並附上已註銷的股票證書副本。同時,公司也須在同一期限內更新股東名冊,並依據《公司法 2016》第51條向CCM提交相關通知。

國際 vs 單國商標申請指南(一):申請人資格

在規劃全球商標布局時,申請人常在「國際申請(馬德里體系)」與「單一國家逐一申請」之間權衡。但在比較規費或時效之前,首要確認的關鍵前提是:申請人是否具備馬德里體系的使用資格? 這不僅是程序問題,更決定了策略路徑的可行性。

1. 馬德里體系的「連結性」要求

所謂國際申請,是透過 WIPO 的馬德里體系向多個成員國一併提交申請。其優勢在於一份申請、一種語言、一套規費即可指定多個市場。然而,使用該體系有嚴格的門檻,申請人必須與成員國具備以下任一「連結關係」:

• 國籍: 擁有成員國的國籍。
• 住所: 在成員國內設有住所(居住地)。
• 營業所: 在成員國內擁有真實有效的工商營業場所。

2. 香港申請人的實務限制與突破

When planning a global trademark layout, applicants often weigh the "Madrid International Application" against "National Applications." However, before comparing fees or timelines, the most critical prerequisite is: Does the applicant qualify for the Madrid System? This is not merely a procedural step; it dictates the very feasibility of your strategic path.

1. The "Nexus" Requirement of the Madrid System

The Madrid System, managed by WIPO, allows for protection in multiple countries via a single application. However, it is not an open-access system. An applicant must establish a "Legal Nexus" with a member state through:

• Nationality: Being a national of a member state.
• Domicile: Having a residence within a member state.
• Establishment: Having a real and effective industrial or commercial presence in a member state.

2. Practical Challenges for Hong Kong Applicants

This is particularly relevant for Hong Kong applicants. As Hong Kong has not yet formally implemented the Madrid System, individuals or entities registered solely in Hong Kong—without a presence in other member states (such as Mainland China, Singapore, or the U.S.)—cannot apply via the international route and must resort to "Country-by-Country" filings.

Exemption on Foreign-Sourced Income by Unit Trusts in Malaysia

The Government gazetted the Income Tax (Unit Trust In Relation To Income Received In Malaysia From Outside Malaysia) (Exemption) 2024 (Amendment) Order 2026 [P.U.(A) 270/2026] on 27 July 2026 to extend the tax exemption period on foreign-sourced income for qualifying unit trusts. This Order amends the initial exemption order [P.U.(A) 250/2024], extending the effective relief timeframe.

1. Initial Gazetted Order

In the initial order, the Income Tax (Unit Trust In Relation To Income Received In Malaysia From Outside Malaysia) (Exemption) Order 2024 [P.U.(A) 250/2024] gazetted on 20 September 2024, qualifying unit trusts that receive taxable income in Malaysia from outside Malaysia are exempted from payment of tax. The initial order was effective for the period from 1 January 2024 to 31 December 2026.

2. Qualifying Unit Trust Criteria

To qualify for this exemption, the fund must be a unit trust resident in Malaysia managed by a management company that is licensed by the Securities Commission and has received income derived from outside Malaysia.

The exemption does not apply to unit trusts approved by the Securities Commission as a Real Estate Investment Trust or Property Trust Fund listed on Bursa Malaysia. Additionally, unit trusts that is in the business of banking, insurance, sea or air transportation are also not eligible for the exemption.

3. Statutory Qualifying Conditions

Qualifying unit trust or the management company of the qualifying unit trust is required to comply with the conditions imposed under Section 134A of the Act. The conditions are set out as follows:

(1) The foreign-sourced income has been:
(a) subject to tax in a similar manner in the country of origin; and
(b) subject to tax at a rate of not less than 15%.

(2) The management company is required to fulfil the economic substance requirements:
(a) employ an adequate number of employees in Malaysia; and
(b) incur an adequate amount of operating expenditure in Malaysia.

4. Tax Treatment and Compliance Obligations

When ascertaining the chargeable income of a qualifying unit trust, any deductions relating to the exempted income must be disregarded. Furthermore, the unit trust is still required to submit returns, statements of account, or other information under the Act.

5. Extension Framework

Following the initial order, the Income Tax (Unit Trust In Relation To Income Received In Malaysia From Outside Malaysia) (Exemption) 2024 (Amendment) Order 2026 [P.U.(A) 270/2026] was gazetted on 27 July 2026. This amendment order extends the tax exemption period from 31 December 2026 to 31 December 2030, providing an additional four years of relief.

馬來西亞單位信託之外國來源收入稅收豁免

馬來西亞政府於 2026 年 7 月 27 日頒布了《2026 年所得稅(單位信託在馬來西亞收取源自馬來西亞境外收入)(豁免)2024 年(修正)令》[P.U.(A) 270/2026],旨在延長合資格單位信託的外國來源收入稅收豁免期。該法令修正了最初的豁免令 [P.U.(A) 250/2024],從而延長了有效的稅收減免期限。

一、初次頒布的法令

在 2024 年 9 月 20 日頒布的初次法令《2024 年所得稅(單位信託在馬來西亞收取源自馬來西亞境外收入)(豁免)令》[P.U.(A) 250/2024] 中,合資格單位信託在馬來西亞收取源自馬來西亞境外的應課稅收入,可豁免繳納所得稅。該初次法令的生效期為 2024 年 1 月 1 日至 2026 年 12 月 31 日。

二、合資格單位信託的條件

要符合本項豁免資格,該基金必須是設在馬來西亞的稅收居民單位信託,並由獲得馬來西亞證券委員會許可的管理公司負責管理,且已獲取源自馬來西亞境外的收入。

此豁免不適用於經證券委員會批准、且在馬來西亞證券交易所上市的房地產投資信託基金或產業信託基金。此外,從事銀行業、保險業、海運或空運業務的單位信託亦不具備享受該豁免的資格。

三、法定資格條件

合資格單位信託或合資格單位信託的管理公司須遵守《本法案》第 134A 條文下規定的條件。具體條件如下:

1 、 該外國來源收入必須:
(1) 在來源國已以類似方式被徵稅;且
(2) 按不低於 15% 的稅率被徵稅。

2 、 管理公司須滿足經濟實質要求:
(1) 在馬來西亞聘用足夠數量的員工;且
(2) 在馬來西亞產生足夠的運營支出。
四、稅務處理與合規義務

在確定合資格單位信託的應課稅收入時,與豁免收入相關的任何扣除項均不得予以計算。此外,該單位信託仍須根據本法案的規定提交報稅表、帳目明細表或其他相關資訊。

五、延期框架

在初次法令之後,《2026 年所得稅(單位信託在馬來西亞收取源自馬來西亞境外收入)(豁免)2024 年(修正)令》[P.U.(A) 270/2026] 於 2026 年 7 月 27 日頒布。該修正令將稅收豁免期限從 2026 年 12 月 31 日延長至 2030 年 12 月 31 日,額外提供了四周年的稅收減免優惠。
