Unfortunately, our payroll manager Liz Graham who many clients will be very familiar with, has fallen ill and has been hospitalised as a result. We are sure you will join us in wishing her a speedy recovery.

In the meantime, however, we are managing the firm’s payroll requirements as best we can in her absence. Please bear with us as we work through this which may be a bit slower/later than normal in some circumstances at this time.

There continues to be an apparent large level of confusion from a lot of directors/owners of businesses surrounding the issue of when to supply their personal codes to Companies House when their identities have been verified. This post is to hopefully set out clearly the requirements of both directors and Persons of Significant Control (PSC’s) of limited companies.

1) Some directors mistakenly believe that verifying their identity and obtaining a personal code is the end of the process. This is NOT the case. Once personal codes are obtained they must be stored and submitted to Companies House at the appropriate time (which differs from company to company).

(The confusion on this point is seemingly largely centred around the fact that, as Companies House issue a personal code in the first place, they already have it in their records and it doesn’t need to be resubmitted - but as stated earlier that is NOT the case).

2) Many directors who are ALSO PSC’s of the same company acknowledge the points above and are aware that when their company’s next confirmation statement is due to be submitted to Companies House they must input their personal code as part of that process. Once this is done, the directors of that company have been verified and officially recorded as such at Companies House. Most directors/PSC’s then mistakenly believe that this is the end of the process. This is also NOT the case.

What a very large majority of directors are not appreciating is that all that has been done here is that a DIRECTOR’S role has been verified when the confirmation statement has been completed. BUT….crucially, their role as a PSC has NOT yet been verified and such verification is often due at the same time as the confirmation statement. This additional step is being repeatedly missed by individuals leading to them receiving somewhat threatening letters from Companies House (which are often passed to us as a query).

There is an entirely separate form to be completed at Companies House to verify your role as a PSC. It is NOT part of the confirmation statement. As part of this separate process, the same personal codes used previously are provided again in each case.

3) For any individual who is NOT a director of a company but IS a PSC of a business, they must also use the separate PSC verification route as outlined above also. However, the biggest difference here is that the deadline for doing so is NOT linked to the company’s confirmation statement (as it is for directors) but instead to that person’s own birth month.

PSC deadlines are different from director deadlines. If you’re a PSC, you must provide your personal code within your allocated 14-day period. It cannot be provided earlier.

Phone lines stay open as tax return deadline looms

More than one million people missed the deadline a year ago, according to HM Revenue and Customs.

And so concludes another tax return season!
We are delighted to report that all clients who submitted paperwork to us before our final day in the office with a corresponding 31 January filing deadline had their tax returns all filed ahead of that deadline.

As ever, it takes us a tremendous effort to achieve that goal and many other required tasks have to be postponed in the process. We are now returning to actioning those as well. We apologise for any delay to replying to non-related phone calls and/or emails and we will be looking at those very soon.

Most director/PSC clients of limited companies are now aware of the need to verify their identity in order to obtain their personal codes to then be able to file documents at Companies House (beginning with Confirmation Statements).

We have spent a lot of time until now assisting clients in obtaining their personal codes but now we are now largely moving into the time of filing a company’s Confirmation Statement for the first time where personal codes are needed. We are now receiving a number of calls of clients experiencing problems with personal codes being rejected.

The main reason for this is because there is often a mismatch between the personal data that is held at Companies House versus the personal data declared as part of the identity verification process (which includes personal data used from, for example, a passport). It is vital that the two pieces of data are the same.

Recent examples of such mismatches include:

- a director called “Chris” on the public register but his passport listed his full forename as “Christopher”.
- a director who did not declare a middle name on the public register but this was included in his passport.
- a director whose name changed due to marriage.
- a director whose residential address on the public register was no longer up to date due to a recent house move.

Where such a mismatch exists, clients are having to abandon the filing of the Confirmation Statement and instead update their Companies House records as a first step, before then returning to the Confirmation Statement to have their personal code accepted.

We therefore recommend to all affected clients to carry out a review of all personal data held on the Companies House records to ensure it is correct and accommodates the issues listed above. Please remember that this should include a review of personal data held both as a director AND also as a PSC (which are held as separate records on the public register). Any incorrect data should be corrected now to allow for a smooth filing process of the next Confirmation Statement in due course.

A key reminder about filing deadlines of identity verification personal codes at Companies House for directors and/or People with Significant Control. This is a little understood area of new company law and it is crucial it is communicated to all affected people.

When you need to verify depends on your role, and when you started that role.

(a) Directors (or equivalent)

You will need to provide your Companies House personal code as part of your company’s next confirmation statement.

If you are a director of more than one company, you will need to do this for each company.

If you’re registering a new company, you’ll be asked to provide the Companies House personal code for each director as part of the registration filing.

(b) People with significant control (PSCs) who are NOT also a director.

PSCs must verify their identity and provide their Companies House personal code. The 14 day period for doing this depends on your situation and is linked to your birth month. You can check the dates of your 14 day period on the Companies House register.

For example, any PSC who was born in December needs to provide their personal code by 14 December 2025. Any PSC who was born in January needs to provide their personal code by 14 January 2026 and so on.

(It can be seen, then, that the first deadline is now upon us!).

(c) Individuals who are both a director AND a PSC of the same company

If you’re both a director AND a PSC of the same company then you’ll need to provide your personal code separately for each role.

As a director, you must provide the code in the company’s confirmation statement.

As a PSC, you must provide it using the ‘Provide identity verification details for a PSC’ service. You must do this within a 14 day period, starting from the day after the company’s confirmation statement date.

If the company files its confirmation statement early, the dates of your 14 day period will not change.

Other information to bear in mind:

If you became a PSC after 18 November 2025, you can provide your personal code when you’re first added to the Companies House register, or within 14 days of being added.

As many readers of this page will no doubt recall, we have posted many times already about how we, as a firm, registered as an Authorised Corporate Service Provider (“ACSP”) with Companies House. This was done with the sole intention of assisting our own director/PSC clients verify their identities for the new rules coming in from 18 November 2025 for all directors/PSC’s. Our previous posts on this will refer.

However, as 18 November 2025 approaches, we are suddenly seeing a massive increase in incoming calls/emails etc to our office from the wider public enquiring about our services also. The majority of these are people who have their own businesses who, in turn, have their own accountants and we assumed these accountants would duplicate what we have done for their own clients. As a result, these new enquiries are something we never anticipated.

We have now learned that Companies House have issued a publically available list of all ACSP firms across the country that have consented to be on this. The list is in alphabetical order of the towns/cities in which the firms are located and can be found in the link below.

To our astonishment, our firm is the ONLY firm in the list registered for Newcastle upon Tyne. Geographically speaking, there are only one or two others in the entire Northumberland, Tyne and Wear and County Durham areas - a huge region when combined.

We can only assume this explains all of the incoming traffic we are seeing - but we are at a loss as to how so few other firms seem to be assisting their clients for this. It will be interesting to hear the individual stories of others to explain this as and when they will now inevitably contact us in the days and weeks ahead.

A final reminder: if you are affected by these rules and have not yet verified your identity, we recommend that you do so as soon as possible!
