Admin route or court route? Choosing the wrong one could cost you time. 👀

Need to restore a dissolved UK company? Before taking action, it’s important to understand which restoration route may apply to your circumstances.

Administrative restoration has specific eligibility requirements.

Court restoration may be necessary when administrative restoration isn’t available.

The right route depends on how the company was dissolved, who is applying and the details of the case.

Don’t guess your next step. Understand your options before moving forward.

📩 Need clarity on your company’s situation? Contact Tilly & Cooper for a written route assessment.

𝗬𝗼𝘂𝗿 𝗰𝗼𝗺𝗽𝗮𝗻𝘆 𝗶𝘀 𝗱𝗶𝘀𝘀𝗼𝗹𝘃𝗲𝗱. 𝗕𝘂𝘁 𝘄𝗵𝗮𝘁 𝗵𝗮𝗽𝗽𝗲𝗻𝗲𝗱 𝘁𝗼 𝗲𝘃𝗲𝗿𝘆𝘁𝗵𝗶𝗻𝗴 𝗶𝘁 𝗼𝘄𝗻𝗲𝗱? 👀💷

A company being removed from the register doesn't necessarily mean its story is over.

There could still be money in a bank account, unpaid invoices, property, shares or refunds connected to the business.

Here's the catch: once a company is dissolved, it no longer legally exists. And certain assets may pass to the Crown as bona vacantia.

So, what should you do if your dissolved company still has unfinished business?

🔎 Check its status: Confirm the company's current position and dissolution history with Companies House.

💷 Identify what remains: Look into any outstanding funds, assets, refunds or unresolved matters.

📋 Understand your options. Restoration may be relevant, but the right route depends on the circumstances and why the company needs to be restored.

Don't assume everything is lost, but don't assume recovery is automatic either.

📩 Need clarity on your next step? Contact Tilly & Cooper to discuss your company's circumstances.

🚨 𝗛𝗶𝗿𝗶𝗻𝗴 𝗳𝗼𝗿 𝗴𝗿𝗼𝘄𝘁𝗵? 𝗠𝗮𝗸𝗲 𝘀𝘂𝗿𝗲 𝘆𝗼𝘂𝗿 𝗰𝗮𝘀𝗵 𝗳𝗹𝗼𝘄 𝗶𝘀 𝗿𝗲𝗮𝗱𝘆 𝗳𝗶𝗿𝘀𝘁.

A new team member can create more capacity, but the financial impact starts before the results arrive.

💷 Recruitment costs, equipment, payroll, and the time it takes to become productive all need a place in your forecast.

Before making the commitment, ask yourself: Can your cash flow support the hire before it starts delivering value?

📊 Add the role to your 13-week and 12-month cash forecasts, so you can plan ahead rather than react later.

𝗧𝗵𝗮𝘁 £𝟯𝟬𝗸 𝘀𝗮𝗹𝗮𝗿𝘆? 𝗜𝘁 𝗰𝗼𝘂𝗹𝗱 𝗰𝗼𝘀𝘁 𝘆𝗼𝘂𝗿 𝗯𝘂𝘀𝗶𝗻𝗲𝘀𝘀 𝗮 𝗹𝗼𝘁 𝗺𝗼𝗿𝗲. 👀💸

You’ve budgeted for the salary. Brilliant! ✅

But what about employer National Insurance, pension contributions, recruitment, equipment, software and training?

Oh, and your new hire might not be working at full capacity from day one. 🫣

Before you make that job offer, add up the full picture:

💷 𝗘𝗺𝗽𝗹𝗼𝘆𝗺𝗲𝗻𝘁 𝗰𝗼𝘀𝘁𝘀: Salary, employer National Insurance, pension and benefits.

💻 𝗦𝗲𝘁𝘂𝗽 𝗰𝗼𝘀𝘁𝘀: Recruitment, equipment, software and training.

⏳ 𝗣𝗿𝗼𝗱𝘂𝗰𝘁𝗶𝘃𝗲 𝘁𝗶𝗺𝗲: Account for leave, meetings, supervision, and time spent getting up to speed.

Because the cost of hiring isn't just what you pay someone. It's what your business commits to spending to bring them on board and support their work.

𝗔𝗻𝗼𝘁𝗵𝗲𝗿 𝗲𝗺𝗽𝗹𝗼𝘆𝗲𝗲? 𝗔𝗻𝗼𝘁𝗵𝗲𝗿 𝘀𝗮𝗹𝗮𝗿𝘆. 𝗔𝗻𝗼𝘁𝗵𝗲𝗿 𝘀𝗲𝘁 𝗼𝗳 𝗿𝗲𝘀𝗽𝗼𝗻𝘀𝗶𝗯𝗶𝗹𝗶𝘁𝗶𝗲𝘀. 💸

But will they actually help your business move forward? 👀

When your to-do list keeps growing, and deadlines keep piling up, hiring someone can feel like the obvious next step.

𝗕𝘂𝘁 𝗯𝘂𝘀𝘆 𝗱𝗼𝗲𝘀𝗻'𝘁 𝗮𝗹𝘄𝗮𝘆𝘀 𝗺𝗲𝗮𝗻 𝘆𝗼𝘂 𝗻𝗲𝗲𝗱 𝗮𝗻𝗼𝘁𝗵𝗲𝗿 𝗽𝗮𝗶𝗿 𝗼𝗳 𝗵𝗮𝗻𝗱𝘀.

Before you post that job advert, ask yourself:

📌 𝗪𝗵𝗮𝘁'𝘀 𝘁𝗵𝗲 𝗿𝗲𝗮𝗹 𝗽𝗿𝗼𝗯𝗹𝗲𝗺?
Are you losing sales, missing deadlines or spending too much time on tasks someone else could handle?

💷 𝗪𝗵𝗮𝘁'𝘀 𝘁𝗵𝗲 𝗳𝘂𝗹𝗹 𝗰𝗼𝘀𝘁?
Think beyond salary to employer costs, pension, equipment, software, and recruitment.

📊 𝗖𝗮𝗻 𝘆𝗼𝘂𝗿 𝗰𝗮𝘀𝗵 𝗳𝗹𝗼𝘄 𝗵𝗮𝗻𝗱𝗹𝗲 𝗶𝘁?
Remember, payroll starts before the results might show up.

Your first hire should solve a measurable capacity problem, not simply make a busy week feel easier.

The funding number isn’t the whole deal. Your ownership is. 👀

Raising investment can bring capital into the business, but it can also change who owns what, who has voting power, and what future dilution could look like.

That’s why the cap table should be modelled before you agree to the investment, not after the paperwork is signed.

Model the pre-money and post-money position.
See the impact before you commit.

Build the cap table first. 📊
