One of our clients made the move to purchase their own commercial office space - a strategic decision to secure their premises, control costs, and build long-term equity.

We explored options ranging from 70% to 100% LVR on purchase price, including flexible “stretch” lending with:

• Redraw and offset options
• Interest-only or P&I repayments
• Terms of 3 to 7 years for "Stretch" facilities (Above 80% LVR)
• 30-year terms available

They went with:

• $1.75M loan at 70% LVR
• Borrowing through a Special Purpose Vehicle (SPV), leased to their trading business

We recently structured a Senior + Preferential Equity site acquisition facility that enabled our client to secure a prime Gold Coast development site for a boutique luxury apartment project with a $30m+ GRV.

The facility comprised a $3.9m senior tranche at 75% of PRSV (87% of purchase price), complemented by a STAC Syndicated Preferential Equity tranche that lifted total leverage to 89% of PRSV and 103% of purchase price. This highly-leveraged structure allowed the sponsors to move forward with less than $1m of their own cash equity.

Critical to this outcome was the DA approval secured prior to settlement, which delivered a valuation uplift. With QS and builder inputs validating construction costs, we negotiated a 75% LVR senior facility inclusive of interest capitalisation. To close the gap, STAC Syndicate provided the preferential equity required to settle the site, with further commitment to support construction when required.

The 6-month initial term (plus 2-month extension) was secured alongside an indicative terms sheet for construction finance, providing assurance for the next phase. While the developers are experienced, this is their largest project to date. To mitigate delivery risk, STAC required the appointment of a trusted Development Manager to oversee BA, tendering, and construction.

Preferential Equity isn’t right for every project - and it isn’t the cheapest capital, particularly given the profit-sharing structure. But in the right circumstances, it can unlock exceptional returns on equity and empower developers to take on projects well beyond conventional gearing limits.

We recently arranged a $2 million business loan to support an established business acquire another business - a classic M&A “bolt-on” - completed via a share-sale agreement.

The standout: the entire deal was done WITHOUT real estate security.

Share-sale acquisitions (as opposed to the more common "asset sale" acquisitions) also introduce additional complexity because funding them can trigger Section 260 of the Corporations Act, often requiring a “white wash” process. That means more planning, more coordination between financier, accountants and lawyers.
