Happy All Hallows Eve from HFA.

The scariest thing for a business owner isn't a ghost story. It's an unfunded buy-sell agreement.

A partner passes away. The agreement says you buy their share. Nobody put money behind it.

It's not a trick, and it's not a treat. It's a fixable problem.

Enjoy the candy. Then check your agreement.

A partner's divorce can become your problem.

If your operating or partnership agreement doesn't say what happens when an owner's shares are part of a divorce settlement, a spouse could end up with a claim on part of the business.

Two things to check: transfer restrictions in your agreement, and a buy-sell clause that gives the company or partners the first right to purchase.

It's not a comfortable topic. It's far easier to settle the rules while everyone still gets along. Ask your attorney.

Year-end tax planning has a deadline most owners miss. December 31 is not the day to start.

A few things worth a conversation with your CPA now:

--> Equipment or vehicle purchases placed in service by year-end

--> When income is billed and when expenses are paid

--> Charitable gifts you were already planning to make

--> Whether your entity structure still fits

The best moves take weeks to set up, not days. Call your CPA this week. Not December 29th.

You don't need outside financial counsel for every decision.

But a few moments are worth the extra set of eyes:

- You're about to sell, merge, or bring in a new partner

- A big chunk of your net worth just became liquid or is about to

- You're making a decision your gut says is right, but you can't fully explain why.

None of these mean you're doing something wrong. They just mean the stakes went up.

It's not a fun question. It's an important one.

If you were suddenly out, even for a few months, would your business keep running? Would your family know what to do? Would your employees have direction?

Most owners haven't written this down anywhere. A short conversation now can save your family and your team a lot of chaos later.

Ask most business owners about who their partners are, and the IRS never comes up.

But depending on how your business is structured, a meaningful share of every dollar you build already belongs to someone else come tax time.

Entity structure isn't just paperwork, it's one of the few decisions that quietly compounds, for better or worse, every year you own the business. Worth a second look, especially if it's been a while since you checked.

If something happened to you tomorrow, would your business survive the week?

Most owners have never answered that in writing.

Key person risk doesn't just mean the founder it can be a top salesperson, an operations lead, anyone the business quietly depends on.

Insurance is part of the answer. So is documentation, cross-training, and a real continuity plan.

Worth an afternoon of thought before it becomes an emergency.

We hear it a lot: "My kids will figure it out." They usually do, eventually. After probate, after disagreements, after decisions get made under stress instead of with a plan.

An estate plan isn't about assuming the worst. It's about giving the people you love clarity when they need it most.

"Figuring it out" is possible. It's just rarely the cheapest or kindest path.

If your business is heading to the next generation, here are three questions worth asking now, not the week before the transition.

- Who actually wants to run this, versus who feels obligated to?

- Does the next generation have real authority, or just the title?

- What happens financially to family members who aren't involved in the business?

Succession isn't just a legal document. It's a conversation and the families who have it early tend to have fewer surprises later.

Estate plans go stale faster than people think. Three signs yours might need a look:

-> A marriage, divorce, or new grandchild since it was last updated

-> The business has grown significantly, or you brought on a partner

-> You genuinely can't remember who your executor is

None of these are rare. All of them are reasons to pull the document out and read it again not assume it still says what you think it says.
